Use the Lens responsibly.
These terms govern access to Instill Lens and set clear responsibilities for recording, uploaded content, and AI-assisted results.
1. Agreement and eligibility
These Terms are an agreement between you and Share Ventures (“Instill,” “we,” or “us”). By creating an account or using Instill Lens, you agree to these Terms and the Privacy Notice. You must be at least 18 (or the age of majority where you live) and authorized to accept these Terms for yourself or the organization you represent.
2. The Service
Instill Lens receives meeting audio, creates diarized transcripts and voice-based speaker matches, calculates conversation dynamics, and uses AI to generate summaries, indicators, and coaching. Processing may be asynchronous and results may not be immediately available. Features may change as the product develops.
3. Accounts and security
Amazon Cognito Managed Login provides account authentication. You must provide accurate information, protect your device and session, and tell us promptly about suspected unauthorized use. You are responsible for activity under your account and for selecting the correct organization when using an organizational workspace.
4. Recording, notice, and consent
You—not Instill—are responsible for determining whether a conversation may be recorded, uploaded, transcribed, and analyzed. You must give required notice, obtain consent from all participants where required, comply with wiretap, privacy, biometric, employment, and confidentiality laws, and follow employer or venue policy. You may not use the Service for covert or unlawful surveillance.
5. Your content and permission to process it
You retain rights in audio, voice enrollment recordings and voiceprints, transcripts, speaker labels, and other content you submit (“Your Content”). You grant us a limited, non-exclusive right to host, reproduce, transform, transmit, and process Your Content only to operate, secure, support, and improve the Service as described in the Privacy Notice and your settings.
You represent that you have the rights and permissions needed to submit Your Content. Do not submit trade secrets, protected health information, payment data, classified material, children’s data, or other highly sensitive content unless an applicable written agreement expressly permits it.
6. Service providers
The Service uses AWS, including Cognito, S3, and SQS, for identity, storage, and processing infrastructure; Deepgram for transcription and diarization; and OpenAI, the configured LLM provider, for structured analysis. Your Content may be transmitted to these providers to fulfill your request. Processor and retention details are in the Privacy Notice.
7. AI output and no consequential reliance
Output may be inaccurate, incomplete, biased, or attributed to the wrong speaker. Scores and coaching are interpretive aids, not facts about a person. You must review the source context and must not use output as the sole basis for hiring, firing, promotion, discipline, credit, insurance, medical, legal, or similarly consequential decisions. Instill Lens does not provide legal, medical, employment, or psychological advice.
8. Acceptable use
You may not:
- record, upload, or process content unlawfully or without authority;
- identify, profile, harass, discriminate against, or deceive people;
- use voiceprints for authentication, surveillance, or identification outside your own requested meeting analysis;
- probe, bypass, overload, reverse engineer, or interfere with security or user/org boundaries;
- upload malware or content that violates rights, confidentiality, or law; or
- resell or automate access except through an authorized written plan or API agreement.
9. Retention, deletion, and suspension
Current configured retention targets are 30 days for raw audio after processing need and 365 days for retained analysis while an account remains active, subject to the Privacy Notice. You may delete meetings or request account deletion. Account deletion removes the Cognito identity, user-scoped AWS storage, and related database records through a safe queued process.
We may restrict or suspend access to protect users, comply with law, address security risk, or respond to a material breach. Where practical, we will provide notice and an opportunity to resolve the issue.
10. Ownership and feedback
We and our licensors own the Service, branding, software, and product design, excluding Your Content. If you provide feedback, you permit us to use it without restriction or payment, but we will not publicly attribute it to you without permission.
11. Disclaimers and liability
To the extent law permits, the Service is provided “as is” and “as available,” without implied warranties of merchantability, fitness, non-infringement, uninterrupted availability, or accuracy. Nothing here excludes rights that cannot legally be excluded.
To the maximum extent permitted by law, neither we nor our suppliers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity. Our aggregate liability arising from the Service will not exceed the greater of US $100 or the amount you paid us for the Service during the 12 months before the event giving rise to the claim.
12. Governing law and disputes
These Terms are governed by California law, without regard to conflict of laws rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Los Angeles County, California, and each party consents to their jurisdiction. Mandatory consumer protections in your place of residence continue to apply.
13. App Store, fees, and changes
Apple is not responsible for the Service, support, or claims relating to it. Apple and its subsidiaries may be third-party beneficiaries of mobile-app terms where required. The current release has no paid features. Any future paid feature will display its price and applicable purchase terms before purchase. We may update these Terms; continued use after an effective update means you accept it where law permits.
